If you run a privately held company, here is a reality check from the newly released Q3 2026 Exit Readiness Index by Value Builder Analytics: 59% of owners plan to exit within the next five years.
Yet, their single biggest fear when selling isn’t preserving their legacy (25%) - it’s failing to get what they believe the business is worth (55%).
That anxiety is justified.
Looking at data across 76,520 businesses over 14 years, the benchmark numbers reveal an uncomfortable truth about today’s M&A landscape:
- Median Exit Readiness Score: Slipped back to 55/100 this quarter.
- Premium Valuation Ready: Only 1.2% of businesses reach an 80+ score—the threshold required to command top-of-market multiples.
- Offer Activity: While 17% of owners received a written LOI or offer over the past year, the median multiple sits flat at 3.0x earnings. Offers above 5x dropped to just 20%.
The takeaway? Buyers are circling more widely, but they aren't paying top dollar simply because top-line revenue exists.
The Difference Between 3x and 5x
Growing revenue is not the same as engineering value. In fact, simply making a business larger often magnifies operational risk if the foundation isn't built to transfer.
Consider recurring revenue. The data shows that offer rates remain steady regardless of your revenue mix...meaning recurring contracts don't determine whether buyers show up; they dictate what buyers pay:
- Businesses with no recurring revenue received a mean offer of 3.2x earnings.
- Businesses where 76%+ of revenue is recurring received a mean offer of 4.5x earnings and were 2.4 times more likely to command 5x+.
Yet, 42% of owners operate with zero recurring revenue, while measures like audited financials and referral consistency softened this quarter.
Are You the Architect of Your Freedom?
Too many owners pour decades into 60-hour workweeks only to discover they built a demanding job rather than a transferable, walk-away asset. If your company still depends on your daily intervention to produce revenue, manage clients, or keep crews moving, a buyer will discount that risk heavily at the closing table.
You shouldn't be penalized for being exceptional at your trade or industry. But true freedom means work becomes an option, not an obligation—giving you complete control over how, when, and where you spend your time.
